Due Diligence usually is an investigation or audit of a potential investment in a company or project. It serves to confirm all material facts in this regard. Due diligence refers to the process a reasonable person should take before entering into an agreement or a transaction. The due diligence can be divided into distinct areas like compatibility, financial audit or an audit into macro-environment, legal and environment, marketing, production, management, information system, and reconciliation audit in business transactions. The process varies for different types of companies or ventures. The relevant areas of concern may include the financial, legal, labour, tax, IT, environment and market/commercial situation of the company. Other areas include intellectual property, real and personal property, insurance and liability coverage, debt instrument review, employee benefits and labour matters, immigration, and international transactions.
